[Section 2.2 — Term of Concession — 50-year term from Substantial Completion] [Section 2.2.1] This Agreement shall take effect on the Effective Date, and shall remain in effect until the end of the following (the "Term"): If permitted by then applicable Law, the date that is 50 years after all Project Sections have achieved Substantial Completion or earlier termination of this Agreement in accordance with the CA Documents; provided, however, that if such date is not permitted by then applicable Law, the date that is 50 years after the day any tolls are charged for any portion of the Project in the course of normal operations or earlier termination of this Agreement in accordance with the CA Documents. Nothing in this Section 2.2.1 is intended to prejudice or diminish Developer's rights under this Agreement with respect to a Compensation Event or Relief Event. [Section 19.8; Section 21.2.1; Section 19.9; Definition: Agreement — Duration — 50-year DBFOM concession term, exclusivity of termination rights, and post-term tolling obligations] [Recital / Agreement definition] Agreement means that certain Comprehensive Agreement executed by NCDOT and Developer, including any and all exhibits and amendments thereto. [The Agreement is a 50-year DBFOM as stated in the contract header.] [Section 19.8] This Article 19 contains the entire and exclusive provisions and rights of NCDOT and Developer regarding termination of this Agreement, and any and all other rights to terminate at law or in equity are hereby waived to the maximum extent permitted by Law. [Section 21.2.1] no voluntary or involuntary Equity Transfers ... and no voluntary or involuntary Change of Control, are allowed from the Effective Date to the second annual anniversary of Substantial Completion of all Project Sections without NCDOT's prior written approval. [Section 19.9.1] NCDOT shall continue to operate and maintain the HOT Lanes, or cause it to be operated and maintained, as a tolled facility to the same or substantially equivalent standards as required of Developer under this Agreement [if undisputed compensation is outstanding at Term end]. [Section 19.9.10] At such time as all amounts due Developer are paid in full ... (a) NCDOT's obligation to operate the HOT Lanes as a tolled facility shall cease.
